Terms of service.

These Terms of Service ("Terms") are a binding agreement between you and Late Sun Studio, LLC, a Delaware limited liability company ("Late Sun Studio," "we," "us," or "our"), governing your access to and use of the Halfday applications, browser extension, websites, and related services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization. If you do not agree to these Terms, do not use the Services.

These Terms contain an arbitration agreement and class-action waiver in Section 15 that affect how disputes are resolved.

You must be at least 13 years old (or the minimum age required in your jurisdiction) and able to form a binding contract to use the Services. You are responsible for maintaining the security of your account, devices, and credentials, and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use.

The Services help you organize work and direct software agents on computers you control, and may connect to third-party services you authorize, such as email. Some features run on our servers; others run on your own computers. We may add, modify, suspend, or discontinue any part of the Services at any time, with or without notice.

You retain all rights in the content you submit to or process through the Services ("Your Content"). You grant Late Sun Studio a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display Your Content solely as necessary to provide, secure, and support the Services and as described in our Privacy Policy.

You may connect only accounts, computers, and services that you own or are authorized to use. When you direct the Services to act in a connected account (for example, to archive, delete, or send email), you authorize that action and are responsible for it. You are responsible for complying with the terms of any third-party service you connect.

The Services use artificial intelligence and automation. Outputs, classifications, suggestions, and actions may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing outputs and for decisions and actions taken using the Services. The Services are not a substitute for professional advice and must not be relied on as the sole means of meeting any deadline, legal obligation, or emergency need.

You agree not to: (a) use the Services in violation of any law or third-party right; (b) access accounts, systems, or data without authorization; (c) send spam or distribute malware; (d) interfere with or disrupt the Services or circumvent their limits or security; (e) reverse engineer the Services except as permitted by law; (f) use the Services to build a competing product; or (g) misrepresent your affiliation with any person or entity.

The Services interoperate with and rely on third-party services, including identity, hosting, email, and AI providers. We do not control and are not responsible for third-party services, their availability, or their handling of your data, which are governed by their own terms and policies.

Certain features may require payment. Prices, billing intervals, and cancellation terms will be presented before you purchase. Unless stated otherwise at purchase or required by law, fees are non-refundable. We may change prices with notice in advance of the next billing period.

The Services, including all software, designs, and trademarks, are owned by Late Sun Studio and its licensors and are protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal or internal business purposes. If you send us feedback, we may use it without obligation to you.

You may stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, created risk or legal exposure for us or others, or if required by law or a third-party provider. Provisions that by their nature should survive termination will survive, including Sections 5, 9, and 11 through 17.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT OUTPUTS WILL BE ACCURATE, OR THAT DATA WILL NOT BE LOST.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATE SUN STUDIO AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

You will defend, indemnify, and hold harmless Late Sun Studio and its members, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Services, your connected accounts, or your violation of these Terms or any law or third-party right.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to Section 15, the state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and you consent to their personal jurisdiction.

Except for claims that qualify for small-claims court and claims for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer or Commercial Arbitration Rules, as applicable. You and Late Sun Studio waive any right to a jury trial and to participate in a class, collective, or representative action. You may opt out of this arbitration agreement by emailing support@latesun.studio within 30 days of first accepting these Terms. If this class-action waiver is found unenforceable, this Section 15 will not apply to that dispute.

We may modify these Terms from time to time. We will post the revised Terms with a new effective date and, for material changes, provide reasonable notice. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

These Terms, together with the Privacy Policy and any terms presented at purchase, are the entire agreement between you and Late Sun Studio regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms limits any rights you have under applicable law that cannot be waived.
